Terms of Service
Last updated: 29 September 2026
1. Acceptance of these Terms
Last updated: 30th September 2026
These Terms of Service ("Terms") govern your access to and use of TrueFaktor, our phone-based identity verification API, dashboard, and website (the "Service"), operated by Mobiverse Solutions Limited ("Mobiverse", "we", "us", "our"), a company registered in Ghana.
By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you don't agree, don't use the Service.
2. Eligibility
You must be at least 18 years old, and have the legal capacity to enter into a binding contract, to create a TrueFaktor account, whether as an individual or on behalf of a business. If you're accepting these Terms on behalf of an organization, you confirm you have authority to bind that organization.
3. Definitions
- "Account" means a TrueFaktor customer account, which may be held by an individual or an organization.
- "App" means an application/project you create within your Account to obtain API keys and run verifications.
- "Credits" means the prepaid balance used to pay for verifications and messages sent through the Service.
- "End user" means a person your App verifies through the Service.
4. Account registration and organization accounts
You must provide accurate, current information when creating an Account. An Account may support multiple team members with different roles and permissions, but one person is the designated Account owner, responsible for the Account, its billing, and the conduct of everyone with access to it.
5. Account security and API keys
You're responsible for safeguarding your password and API keys, and for all activity that occurs under your Account or credentials. Don't share your password or secret API keys with anyone who shouldn't have them. Notify us immediately at support@truefaktor.com if you suspect unauthorized access or a compromised key, you can and should rotate/revoke keys yourself from the dashboard as soon as you suspect a problem.
Two-factor authentication is not currently available on the console. Keep your login credentials confidential accordingly.
6. Using the Service
Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business or personal purposes. You may not copy, resell, sublicense, reverse-engineer, or attempt to extract the source code of the Service.
7. Acceptable use and prohibited activities
You agree not to use the Service to:
- Send unsolicited messages, spam, or verification requests to numbers you don't have a legitimate reason to contact.
- Engage in or facilitate OTP abuse, SMS pumping/toll fraud, or any scheme designed to generate artificial traffic or inflate usage.
- Attempt to circumvent, disable, or interfere with the verification, security, or rate-limiting mechanisms of the Service.
- Impersonate any person or entity, or misrepresent your affiliation with one.
- Gain or attempt to gain unauthorized access to the Service, other accounts, or connected systems.
- Use the Service for any unlawful, fraudulent, or malicious purpose, including facilitating identity theft or account takeover.
- Collect, store, or process personal data (including end-user data) without a proper legal basis and without complying with applicable data protection law.
- Introduce viruses, malware, or other harmful code into the Service.
8. Abuse detection, rate limits, and suspension
Because TrueFaktor carries real telecom costs and is a target for OTP/SMS-pumping fraud, we need, and reserve, the right to:
- Apply rate limits and usage thresholds to any Account or App.
- Monitor traffic patterns to detect suspected fraud or abuse.
- Immediately suspend or restrict an Account, an App, specific API keys, or specific traffic, without prior notice, where we reasonably suspect fraud, abuse, or a violation of these Terms.
- Investigate suspected abuse, including by reviewing Account activity and verification metadata.
- Rotate or revoke API keys where necessary to stop ongoing abuse.
We'll aim to notify you and explain the reason as soon as reasonably possible after taking emergency action, and to restore access promptly once the issue is resolved.
9. Verification and authentication services
TrueFaktor verifies possession of a phone number (or a WhatsApp-linked account) via OTP, magic link, or equivalent challenge, and reports a pass/fail result. It does not verify a person's legal identity, government ID, or biometric data, we don't collect those. You're responsible for deciding whether phone-number verification is an appropriate control for your own use case, and for any decisions you make based on a verification result.
10. Third-party telecommunications and messaging services
Verifications are delivered through underlying channels, some operated by us and some by third parties:
- SMS and Voice, delivered via MobiMessenger, and USSD, delivered via Uzo, both Mobiverse Solutions Limited services [CONFIRM].
- WhatsApp, delivered directly via Meta's WhatsApp Business API, subject to Meta's own Business Terms.
- Email, delivered via Google SMTP infrastructure.
Delivery, timing, and reliability of messages sent over these channels depend in part on mobile network operators, WhatsApp/Meta, and other infrastructure outside our direct control. We don't guarantee delivery of any individual message.
11. Service availability and changes
We aim to keep the Service available and reliable but don't guarantee uninterrupted, error-free, or continuous access. We may modify, suspend, or discontinue features of the Service at any time; where reasonably possible, we'll give advance notice of material changes that affect you.
12. Pricing, credits, and billing
- The Service is billed on a prepaid, credit-based basis. Credits do not expire.
- Credits are purchased through Paystack. We do not store your card details.
- Credits are non-refundable once purchased, except as required by law or as set out in Section 13 below.
- If your Account is suspended or terminated for a violation of these Terms, any remaining credit balance is forfeited.
- We don't currently offer a free trial, though we may introduce one in the future on terms we'll publish at that time.
- You're responsible for any taxes applicable to your purchase, other than taxes on our net income.
13. Your right to cancel (EU/UK consumers)
If you're a consumer located in the EEA or UK, you may ordinarily have a statutory right to withdraw from an online purchase within 14 days. Because credits can be used immediately and are consumed as soon as you run a verification, by purchasing credits and confirming you want the Service to begin immediately, you acknowledge that performance starts right away and, to the extent permitted by applicable law, you lose your right of withdrawal once a purchased credit has been used. Unused credits from a purchase made in the last 14 days by an EEA/UK consumer may still be eligible for withdrawal, contact support@truefaktor.com.
14. Suspension and termination
We may suspend or terminate your Account, without prior notice, if you breach these Terms, if we suspect fraud or abuse, or if required by law. You may stop using the Service and close your Account at any time by contacting us.
15. What happens after termination
After termination, your right to use the Service ends immediately. We handle your data as described in our Privacy Policy. Provisions that by their nature should survive termination, including ownership, disclaimers, indemnification, and limitations of liability, continue to apply.
16. Intellectual property
The Service, and all content, features, and functionality that make it up, are and remain the exclusive property of Mobiverse Solutions Limited and our licensors, protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right to use our trademarks or brand without our prior written consent.
17. Your content and data
You retain ownership of the data you submit to the Service, including your App configuration and any end-user data you send us for verification. You grant us a license to use that data solely to provide the Service to you, as described in our Privacy Policy.
You represent that you have the right to submit any end-user data you send us, and that doing so complies with applicable law, including data protection and telecommunications law.
18. Confidentiality
Each party agrees to protect the other's confidential information with the same care it uses for its own confidential information, and not to disclose it except as needed to perform under these Terms, as required by law, or with the other party's consent.
19. Privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.
20. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that verification results will be error-free, phone-number verification depends on infrastructure and networks outside our control.
21. Limitation of liability
To the maximum extent permitted by law, Mobiverse and its officers, employees, and agents won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use the Service, even if we've been advised of the possibility of such damages. Where liability can't be excluded under applicable law, it's limited to the greatest extent that law allows.
22. Indemnification
You agree to indemnify and hold Mobiverse harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right, including in connection with end-user data you submit to the Service.
23. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including network or telecom outages, acts of government, natural disasters, or failures of third-party providers we depend on to deliver the Service.
24. Governing law and dispute resolution
These Terms are governed by the laws of Ghana, without regard to conflict-of-law principles. You and Mobiverse agree to submit to the exclusive jurisdiction of the courts of Ghana for any dispute arising from these Terms or the Service, except that we may seek injunctive or equitable relief in any court of competent jurisdiction.
25. Changes to these Terms
We may update these Terms from time to time. We'll post the revised Terms with an updated "Last updated" date, and where changes are material, we'll make reasonable efforts to notify you directly. Continuing to use the Service after changes take effect means you accept them.
26. General provisions
- These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service.
- If any provision is found unenforceable, the rest of these Terms remain in effect.
- Our failure to enforce a right or provision isn't a waiver of it.
- You may not assign your rights or obligations under these Terms without our written consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
- Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
